1. Acceptance of Terms

By creating an account, making a purchase, or otherwise using the Football Underground Platform, you confirm that you are at least 13 years of age (or the minimum age required in your jurisdiction) and that you have the legal capacity to enter into these Terms.

If you are using the Platform on behalf of a business or organization (for example, as a listed point of interest), you represent and warrant that you have the authority to bind that entity to these Terms.

These Terms constitute a legally binding agreement between you and Football Underground. Your continued use of the Platform following any updates to these Terms constitutes acceptance of those changes.

2. Use of Service

Football Underground provides a spectator sports fan experience platform that helps traveling fans discover local bars, restaurants, and hidden gems near major stadiums. Our services include but are not limited to:

• Local discovery and recommendation features powered by community-curated content
• Gamified scavenger hunts and challenges near stadiums
• Fan community features including groups, reviews, and photo sharing
• Business listing and analytics for points of interest
• Limited edition merchandise sales
• Event listings and community coordination

Prohibited Uses

You agree not to use the Platform to:

• Violate any applicable federal, state, local, or international law or regulation
• Post or transmit false, misleading, defamatory, or fraudulent content
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to other user accounts, the Platform's systems, or any connected networks
• Scrape, data-mine, or use automated means to collect content or user information from the Platform
• Upload viruses, malware, or any other harmful code
• Harass, abuse, or threaten other users of the Platform
• Use the Platform for any commercial purpose not expressly authorized by Football Underground

We reserve the right to suspend or terminate your account if you engage in any prohibited use.

3. User Accounts

To access certain features of the Platform, you may need to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We offer two types of accounts: Fan Accounts for individual users and Business Accounts for establishments wishing to list themselves as points of interest. Each account type is subject to specific features and limitations as described on the Platform.

We reserve the right to disable any account at any time if, in our opinion, you have failed to comply with these Terms.

4. Intellectual Property

The Football Underground Platform, including its original content, features, functionality, design, logos, trademarks, and service marks, is owned by Football Underground and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. This license does not include:

• Modifying, reproducing, or distributing the Platform or its content
• Using the Platform for any commercial purpose without our prior written consent
• Removing any copyright, trademark, or other proprietary notices from the Platform
• Creating derivative works based on the Platform or its content

The name "Football Underground," our logo, the tagline "Watch Football Like a Local," and all related names, logos, product and service names, designs, and slogans are trademarks of Football Underground. You may not use these marks without our prior written permission.

5. Merchandise & Purchases

Football Underground offers limited edition merchandise through our Platform. All purchases are subject to the following terms:

Pricing & Availability

• All merchandise items are priced at $200.00 each and are limited to 100 individually numbered editions per product
• Prices are displayed in US Dollars and are final at the time of purchase
• We reserve the right to modify prices, discontinue products, or correct pricing errors at any time prior to order confirmation
• Edition numbers are assigned sequentially based on order of purchase

Payments & Processing

• All payments are processed securely through Stripe. Football Underground does not store your full payment card details
• By making a purchase, you represent that you are authorized to use the payment method provided
• Orders are subject to acceptance and availability confirmation

Shipping & Returns

• Shipping timelines and costs will be communicated at checkout and in your order confirmation email
• Due to the limited and numbered nature of our merchandise, all sales are final. We do not accept returns or exchanges except in cases of damaged or defective items
• If you receive a damaged or defective item, please contact us within 14 days of delivery at support@footballunderground.com

Fundraiser Transparency

All merchandise revenue directly funds the development and growth of Football Underground. Revenue allocation: Marketing (40%), Feature Development (35%), Community Events (15%), and Operations (10%). Progress toward our $200,000 fundraising goal is displayed transparently on the shop page.

6. User-Generated Content

Our Platform allows you to post, submit, and share content including reviews, photos, scavenger hunt creations, and community discussions ("User Content"). By posting User Content, you:

• Grant Football Underground a non-exclusive, royalty-free, worldwide, transferable license to use, display, reproduce, modify, and distribute your User Content in connection with operating and promoting the Platform
• Represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe on any third party's rights
• Acknowledge that User Content is not confidential and may be viewed by other users of the Platform

We reserve the right, but have no obligation, to monitor, edit, or remove User Content that we determine, in our sole discretion, violates these Terms, is offensive, or is otherwise objectionable. We are not responsible for the accuracy, completeness, or reliability of any User Content.

7. Business Listings

Businesses that register as points of interest on Football Underground agree to the following additional terms:

• All business information provided must be accurate, current, and not misleading
• You are responsible for maintaining and updating your business profile, including hours of operation, menus, and offers
• Football Underground provides analytics data (impressions, visits, engagement) as informational tools; we do not guarantee any specific business outcomes
• We reserve the right to remove or modify business listings that violate our community guidelines or these Terms
• Businesses are responsible for complying with all applicable local, state, and federal laws related to their operation

8. Limitation of Liability

To the fullest extent permitted by applicable law, Football Underground, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to use) the Platform
• Any conduct or content of any third party on the Platform, including other users and listed businesses
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your data or content

In no event shall our aggregate liability exceed the greater of one hundred US dollars ($100) or the amount you paid us in the twelve months preceding the claim. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

Football Underground does not endorse, verify, or guarantee the quality, safety, or legality of any listed business, point of interest, or user-generated recommendation. You visit any listed establishment at your own risk.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be instituted in the federal or state courts located in New York, New York, and you consent to the jurisdiction of such courts.

Any dispute arising from these Terms or your use of the Platform that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any arbitration shall be conducted on an individual basis and not as a class action.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide additional notice through the Platform or via email.

Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and may request account deletion.
